MANOJ BHARGAVA focuses his practice on international capital markets matters, with a focus on India and Southeast Asia. Manoj has more than two decades of experience and has advised on more than 135 capital markets offerings for Indian companies. He has built a substantial practice advising clients on initial public offerings, follow-on offerings and private placements, including U.S. Securities and Exchange Commission-registered offerings and listings on the New York Stock Exchange, NASDAQ and the stock exchanges of Mumbai, London, Singapore and Luxembourg. Additionally, he has represented corporates, issuers, investment banks and investors, and has advised on mergers and acquisitions and private equity investments and dispositions. He also has experience working on transactions in China, Australia, Europe and the United States.

Representative experience includes the following*:

• Vodafone Idea Limited :US$3.6 billion rights offering of equity shares pursuant to Section 4(a) and Regulation S, underwritten by Morgan Stanley, Bank of America Merrill Lynch and Kotak Mahindra.

• Metropolis Healthcare Limited :US$170 million of equity shares in an initial public offering pursuant to Section 4(a) and Regulation S, underwritten by JM Financial, Credit Suisse, Goldman Sachs, HDFC Bank and Kotak Mahindra.

• India Infrastructure Trust

US$1.89 billion offering of trust units and debentures of the India Infrastructure Trust. The trust raised US$965 million from subscription of trust units by Rapid Holding 2 Pte. Limited (an affiliate of Brookfield Asset Management), and in addition, the trust also issued debentures in an aggregate amount of US$925 million. The original owner of the underlying asset of the trust – the gas pipeline was an affiliate of Reliance Industries Limited.

• Chalet Hotels Private Limited

US$230 million of equity shares in an initial public offering pursuant to Section 4(a) and Regulation S, underwritten by JM Financial, Axis Capital and Morgan Stanley.

• Axis Bank Limited

US$735 million of equity shares in an offer for sale, brokered by Citigroup, Morgan Stanley and ICICI Securities.

• Aavas Financiers Limited

US$235 million of equity shares in an initial public offering pursuant to Section 4(a) and Regulation S, underwritten by ICICI Securities, Citigroup, Edelweiss, Spark Capital and HDPC Bank.

• TCNS Clothing Company Private Limited

US$165 million of equity shares in an initial public offering pursuant to Section 4(a) and Regulation S, underwritten by Kotak Mahindra and Citigroup.

• IndoStar Capital Finance Limited

US$280 million of equity shares in an initial public offering pursuant to Section 4(a) and Regulation S, underwritten by JM Financial, Kotak Mahindra, Morgan Stanley, Motilal Oswal and Nomura.

• Lemon Tree Hotels Limited

US$160 million of equity shares in an initial public offering pursuant to Section 4(a) and Regulation S, underwritten by Kotak Mahindra, CLSA India, JP Morgan and Yes Securities.

• L&T Finance Holdings Limited

US$155 million of equity shares in a qualified institutions placement pursuant to Section 4(a)(2) and Regulation S, underwritten by Edelweiss, JM FinancialCitigroup and Motilal Oswal.

• Idea Cellular Limited

US$550 million of equity shares in a qualified institutions placement pursuant to Section 4(a)(2) and Regulation S, underwritten by DSP Merrill Lynch and Citigroup.

• Natco Pharma Limited:US$140 million qualified institutions placement of shares pursuant to Section 4(a)(2) and Regulation S, underwritten by IDFC, Edelweiss, Inga Capital and JM Financial.

• Bharti Infratel Limited

US$240 million of equity shares sold by Nettle Infrastructure Investments Limited in a block trade, placed by JPMorgan.
