Jay Bhimani represents companies and individuals in complex commercial litigation and arbitration, including in the substantive areas of securities litigation, qui tam, fraud, breach of fiduciary duty, business tort, director and officer liability, breach of contract, and liability under the Foreign Corrupt Practices Act. He is a member of the group recognized by The Recorder as Securities Litigation Department of the Year in 2015, and by Law360 as Securities Group of the Year in 2017. Jay also has an active pro bono practice. In 2016, Public Counsel’s Consumer Law Project awarded Jay its 2016 Public Counsel Pro Bono Award.
Securities and Financial Services Litigation
• Represented prominent hedge fund and its principal in class action in which the named plaintiffs (two pension funds) asserted SEC Rule 14e-3 causes of action relating to stock and options transactions made in advance of the announcement of a proposed merger. (Central District of California).
• Represented RBS Securities and its affiliates in multiple actions brought by the National Credit Union Administration Board on behalf of four liquidated corporate credit unions relating to the sale of billions of dollars of residential mortgage-backed securities. (Southern District of New York, Central District of California, and District of Kansas).
• Represented RBS Securities in litigation commenced by CUNA Mutual, an affiliated group of insurance companies, seeking to rescind the purchase of approximately $72 million of residential mortgage-backed securities. (Western District of Wisconsin).
• Represented Pershing Square Capital Management in federal securities litigation brought by Botox-maker Allergan, Inc. relating to an unsolicited merger proposal of over $50 billion. (Central District of California).
Qui Tam and Pharmaceutical Litigation
• Lead counsel for the AIDS Healthcare Foundation in qui tam action alleging violations of the federal Anti-Kickback Statute. Obtained summary judgment on all pending claims. United States ex rel. Carrel et al. v. AIDS Healthcare Foundation, Inc., 262 F. Supp. 3d 1353 (S.D. Fla. June 9, 2017) (Southern District of Florida).
• Represented supplier of over-the-counter generic pharmaceutical products in contract dispute with counterparty, including during expedited proceedings relating to a requested injunction. (Middle District of North Carolina).
Complex Commercial Litigation and Investigations
• Represented commercial lender in fraud and breach of contract action arising out of prospective loan transaction with crowdfunded borrower. (Los Angeles Superior Court).
• Represented movie studio in antitrust litigation filed by distributor alleging a vertical conspiracy to boycott. (District of Delaware).
• Represented casino and resort company in litigation brought by creditor alleging actual and constructive fraudulent conveyances. (Central District of California).
• Represented corporation in connection with Foreign Corrupt Practices Act investigation.
• Represented auction company and its directors and officers in breach of contract litigation alleging alter ego claims. (Superior Court of California, Orange County).
